I. The "1-Click LLC" Vision

The Ricardian LLC is an entirely on-chain representation of limited liability companies minted as non-fungible tokens (NFTs), governed by LexDAO as an open-source public good for Web3 businesses. The concept derives its name and philosophy from financial cryptographer Ian Grigg’s concept of Ricardian contracts, aka agreements that are simultaneously human-readable by clients and judges and machine-executable by software systems. In traditional corporate law, establishing a limited liability company requires paying thousands of dollars in attorney fees, filing manual paperwork with state secretaries, hiring registered agents, and enduring multi-week processing delays. The Ricardian LLC was engineered to eliminate this administrative debt, achieving "1-click LLCs" where executing an on-chain transaction instantly issues a legally recognized corporate wrapper for the cost of blockchain gas.

II. Series LLC Mechanics & Asset Segregation

Rather than filing separate, standalone articles of organization for every project, the Ricardian framework leverages the Delaware Series LLC statutory model:

  1. The Master Umbrella: A provider maintains a single, active "Master" Series LLC filing with the Delaware Secretary of State.

  2. Sub-LLC Franchising via NFTs: When an individual developer, service team, or DAO mints a Ricardian LLC NFT, the smart contract automatically creates a distinct "sub-LLC" (sibling series) under the master umbrella filing.

  3. No Duplicative State Filings: Holding the token ID legally grants the wallet owner a recognized corporate identity without requiring a separate state filing or disclosing members' real-world identities to public databases.

The J. Mason Bump Legal Thesis

A major legal question surrounding Series LLCs is whether courts will respect the separate liability shields of each sub-series. Under Delaware law, maintaining limited liability for a series requires strict statutory compliance with asset segregation, meaning the records, assets, and liabilities of each sub-series must be kept completely separate from the master entity and other sibling series. LexDAO commissioned research from legal scholar J. Mason Bump (published in "Series LLCs and Blockchain: Circling the Wagons"). The research demonstrated that public blockchain ledgers are mathematically optimal at satisfying Delaware's statutory asset segregation requirements. Because EVM networks maintain an immutable, real-time public ledger of every transaction, token balance, and vault state, smart contracts offer unalterable proof of distinct asset separation, preventing courts from "piercing the corporate veil".

III. "Wet-Dry" Contract Integration

The Ricardian LLC operationalizes LexDAO's "wet-dry" hybrid contract model to bridge software code and territorial courts:

  • The "Wet" Legal Layer: The Ricardian NFT contract links directly to an IPFS-hosted Master Series LLC Operating Agreement curated and updated by legal engineers.

  • Cryptographic Signatures: When a user mints or transfers a Ricardian NFT, or interacts with a wrapped DAO treasury, their wallet's cryptographic signature acts as an electronic signature agreeing to the terms of the operating agreement.

  • Qualified Code Deference: Formulated from Gabe Shapiro's SCoDA (Simple Code Deference Agreement) frameworks, the operating agreement establishes that smart contract code governs internal voting, token accounting, and treasury routing by default. However, it embeds explicit legal fail-safes ("escape hatches") so that if a smart contract exploit, reentrancy bug, or consensus attack occurs, members have a clear legal roadmap to pause operations, recover assets off-chain, or migrate to a new ledger without descending into lawless litigation.

IV. DAO-Agnostic Interoperability

The Ricardian LLC toolkit is built to be modular and DAO-agnostic, meaning that it does not force a team to adopt a specific DAO framework.

Deployment Interfaces

  • Quickstart Wallet Minting: Sending 0 ETH directly to ricardianllc.eth automatically triggers the factory contract to record and return a registration NFT to the sender's wallet.

  • Etherscan Direct Interaction: Users can call the verified mintLLC() function directly on Etherscan to assign a registration NFT to a target multi-sig or contract address.

  • OpenLaw Integration: Automated Web3 forms allow users to generate executed legal documents sent directly to their email while deploying matching DAO contracts.

  • KaliDAO / Wrappr Integration: Deployed natively within the Kali DAO launcher, allowing teams to select an LLC wrapper during initial DAO setup.

Vault Storage ("Wrapping the Treasury")

Once the Ricardian NFT is minted, it can be deposited directly into any Web3 vault, including a Gnosis Safe, Moloch DAO, Daohaus vault, or Aragon treasury. Placing the NFT inside the vault signals to external third parties, clients, and courts that all subsequent transactions executed by that wallet or multi-sig are conducted under the limited liability protections of that specific Delaware Series LLC.

V. Tax Treatment, Use Cases, and Comparisons

Tax Treatment

For a single-member project or individual contractor, a Ricardian sub-LLC operates as a disregarded entity for US tax purposes. Profits received into the wrapped wallet pass directly through to the individual's personal tax return, simplifying accounting without requiring complex corporate tax filings.

Ideal Use Cases

While large, multi-year protocols may eventually graduate to bespoke corporate structures, the Ricardian LLC provides an ideal "sanity check" shield for:

  • Service Guilds & Freelancers: Teams conducting client work (e.g., RaidGuild or development squads) to ensure software delivery disputes target the LLC rather than personal assets.

  • Hackathons & Flash Events: Short-term collectives raising capital or pooling funds for specific events (similar to ConstitutionDAO).

  • Real-World Asset (RWA) Containers: Offshoot projects that wrap physical property titles inside sub-LLCs and trade ownership fractionally via NFTs.
